Bruce C Conklin, Jr.

Founder & President

In my 25 years of successfully leading over 130 corporate revitalizations and restructures, I have become particularly adept at consensual solutions, avoiding the expense and time of insolvency proceedings.  I have found this is especially valuable to the $20M to $70M mid-market where time and capital is constrained.

Typically I assume the role of advisor, working closely alongside the CEO/Owner and Management, but I have also acted as Chief Restructuring Officer and Chief Responsible Officer (sole Board member and Officer).

I founded Fidelis in 2012 to focus on the lower middle market, to provide a much needed economical solution to advisory in this market niche, where price sensitivity is high, but the rehabilitation and restructuring issues are the same.

Prior to founding Fidelis, I spent over 20 years with Kibel Green Inc., where I lead engagements in a wide range of industries and activities from attracting new debt and equity, to sales of companies, to development of new business strategies and plans, and in-court and out-of-court restructurings.

Before Kibel Green, I held several senior operating and financial positions in real estate development and manufacturing companies.  

After graduating from Lehigh University, I joined KMPG, where I rose to Senior Audit Manager in their New York, Atlanta and Washington DC practices.

My wife, Grace, and I split time between Whitefish, MT and Costa Mesa, CA, where we have raised 6 children and now 3 grandchildren.

Michael Schwarzmann

Principal

Michael has 20 years experience providing advisory and consulting services focusing upon assisting distressed companies, revitalizing underperforming businesses, marketing troubled companies and advising their creditor constituents by acquiring, evaluating and analyzing complex data to influence strategy and profitability. Michael has advised to companies, bondholder groups, unsecured creditors committees, and other stakeholders on financial, operational and strategic issues affecting underperforming, stressed, and distressed companies.

Michael has assisted clients in developing and evaluating business and turnaround plans, analyzing financial and operational performance, and formulating successful workout, restructuring or bankruptcy strategies to preserve or improve asset values for stakeholders. His industry experience includes: health care, manufacturing, agricultural, construction, restaurants and franchising, energy, travel and investment banking.

Michael utilizes the skills and expertise garnered working for nationwide restructuring groups on a smaller platform so that he can provide reduced rates to middle market and smaller market companies.

In addition, Michael is a licensed attorney who formerly practiced bankruptcy law.

Michael is a graduate of University of Southern California, obtained his law degree from Loyola Law School and his MBA from UCLA.

Dennis Kushner

Principal

Dennis is an operational financial change leader who has led turnarounds and restructuring of small to mid market companies as a CEO, COO and CFO in becoming successful and sustainable businesses. His hands on experience in finance, accounting, operations, and business development have enabled him to make a substantial contribution to top line and bottom line performance. He has a consistent record of major record of establishing breakthrough performance through improved planning, cost control, timely analysis and systems enhancements.

Dennis has an extensive background in mergers, acquisitions and divestures in providing due diligence and the smooth integration of transactions. He has implemented processes to either expand or to right size the business to gain a competitive advantage in the market place. He is experienced in branding products and services, pricing and strategy. He has played an active role in sourcing buyers and suppliers. He has prepared confidential business profiles, business plans and raised working capital to improve cash flow and the viability of the business. His expertise in value chain analysis, process improvement and total quality management has led to improved operating efficiency and cost effective operations in high technology, biotechnology, consumer business, financial services and professional service vertical markets. Performed make versus buy analyses to stream and add value to the business.

Dennis holds a bachelor of sciences degree in Accounting and Finance, University of Southern California and a Masters degree in Public Administration, Management and Systems, University of Southern California. He was an honors student in Western Europe and held a University Scholarship and Grant from the University of Southern California.

Charles Schapira

Managing Director

For more than 25 years I have been a CEO, senior executive and business owner in several industries. My unique successes have been in driving revenue, profit and creating growth strategies within startups, existing companies, turnarounds and rapidly changing environments. I have been involved in several successful acquisitions and have worked extensively with financial institutions and equity.

As a Managing Director of Fidelis, I team with CEO, owners and senior management in creating sustained and growing enterprise value, in competing in an ever changing market place and in reducing risk in making strategic/ operational decisions. Together, we create value and reduce risk by improving your profit margin, driving sales momentum and restoring your competitive advantage.

Before joining Fidelis, I worked in every facet of running a company including sales, marketing, production, and vendor and customer relations. Most recently I was a CEO leading a successful turnaround for a company manufacturing hot water systems. Prior to that I acquired a manufacturer of Industrial heat sealers and increased revenue ten-fold. Sales were direct to Fortune 500 companies and all branches of the US Government and military.

After graduating from NYU with a degree in International Business and Finance, I began my career in the Oil Industry, followed by Precious Metals Refining and Fabrication.

I live in Newport Beach, CA with a daughter attending college.
